I set a password on my ipod and forgot it. how do i reset it.

Since when iPods have the option the set a password? Never heard of it.

Try holding the "menu" button and the "Play/pause" button at the same time for about 10 seconds.

If that doesn't work try posting your question at the excellent Apple Discussion forums (since it may be dependent of the model you have)...

Thank you so much.  I have an Itouch Ipod and it worked; however, it erased EVERYTHING.  I will need to restore it all but I'm glad it worked.

I'm sorry to hear about you losing your stuff, but I don't think there was any other solution. Fortunately, it's pretty easy to restore files.

If you had any highly personal data on your iPod and it had been stolen, I think you'd be grateful that whoever stole it would have to delete all your files in order to get it working.
